The Imagination University Programme, (the “IUP“) and any materials published on or generated by it (the “IUP Content“) have been developed and are made available by Imagination Technologies Limited or its subsidiaries or affiliates (“Imagination”, “we”, “our” or “us”).

Imagination is a company registered in England and Wales under company number 1306335 and have its registered office and main trading address at Imagination House, Home Park Estate, Kings Langley, WD4 8LZ, United Kingdom.

These User Terms and Conditions (together with the documents referred to in them) set out the terms which govern your membership of the IUP and your use of the IUP Website/Website Content. Please read these User Terms and Conditions carefully before you join the IUP and/or start using the IUP Website/Content. By using the IUP Website, you indicate that you accept these User Terms and Conditions and you agree to abide by them at all times.

Your membership of the IUP and use of the IUP Website / Content is also subject to our privacy policy, which sets out the terms on which we may process any personal data we collect from you or that you provide to us. By using the IUP Website, you consent to such processing and you warrant that all data provided by you is accurate. If you make use of our tools, materials or other Services (as defined below), separate Terms and Conditions may apply. Please also note that Imagination has a separate website to which separate terms apply.

Please note that we may revise these Website and IUP Terms at any time in accordance with section 12 below. These User Terms and Conditions were last updated on June 2022.

Information about the IUP and the IUP Website

The IUP aims to enrich the technology curriculum in higher education institutions, research institutes and other organisations. Through the IUP, Imagination works in partnership with higher education institutions, research organisations, funders, employers of researchers. and national organisations to meet society’s need for highly-skilled, innovative and world-class electronic engineers.

The IUP Website is an interactive, web-based service, developed by us and hosted on Google Cloud Platform. The IUP Website contains information for academics, students, researchers and those employing, supervising or managing academics, students or researchers, along with tools and resources) designed to aid the academic and professional development of such individuals (the “Services”).

Accessing the IUP website and the Services

Some content on the IUP Website is available to anybody browsing the site (whether or not they are a registered user). Access to certain other content on the IUP Website and the Services is restricted to registered users who have registered on the IUP Website with a valid email address.

Your membership of the IUP and/or right to access the restricted content on the IUP Website shall immediately come to an end, without liability to us, if: 

In our opinion (acting reasonably), you have failed to comply with any of the provisions of these User Terms and Conditions or any other contract in force between us or your organisation; 

We believe (acting reasonably) that your use of the IUP Website, IUP Content or the Services (or any part of them) represents a direct or indirect threat to the functioning or integrity of (i) the IUP, (ii) Google Cloud network, or (iii) anyone else’s use of the Google Cloud; it is reasonably necessary to prevent unauthorized access to any other IUP Website user’s data; 

It is necessary to comply with legal requirements; 

Or, we believe (acting reasonably) that you are acting for a competitor; you must keep confidential any username, password or other information provided to or chosen by you in order to access the restricted content on the IUP Website. 

You will not share that information with any third party nor allow any third party to access the restricted content on the IUP Website using that information.

Suspension or termination of the Services

Access to the Services (and to any IUP Content, including the restricted content) may be suspended or terminated by us without notice and without liability if we decide in our sole discretion to suspend or terminate the Services or the IUP.

User data

We will process the information submitted by you to the IUP Website (“User Data”) and information forming part of your User Profile (“User Profile”) in accordance with our privacy policy. Such processing may include the transfer of your User Data to third-party service providers or consultants for the purposes of administering the IUP. By using the IUP, the IUP Website and the Services, you consent to such processing, and you agree that we may use your User Data and User Profile as set out in our privacy policy.

You undertake to ensure that your User Data is not defamatory, offensive or otherwise unlawful or inappropriate and does not infringe any third party’s intellectual property rights or other rights, and you agree to indemnify us for any breach of that undertaking. We have the right to remove any User Data which is (in our sole discretion) deemed inappropriate.

User consent

You will be asked to consent to our use of your User Data for certain purposes, however, some of our processing activities doe not need your consent. You do not have to give your consent for such processing and our operation of the IUP is not conditional on you giving consent.

If you give your permission to share your User Data when you register the IUP, we may share your User Data with the IUP Partners for purposes such as the organization of workshops or the provision of development tools.

Our usual method of contact is e-mail.

We may use other channels such as telephone or SMS if it is urgent, or post if we need to share physical information such as brochures or development boards.

Intellectual property rights

We are the owner or the licensee of all intellectual property rights in the IUP Website and the IUP Content. Those materials (which may include, but are not limited to, documents, files, text and graphics) are protected by copyright laws, trademark laws and treaties around the world. All such rights are reserved. You may not make use of any of Imagination’s trademarks without our prior written permission.

You may download and print off reports generated by the IUP Website, and any page of the IUP Website, solely for the purposes of your own academic study, teaching or professional development (but not for commercial re-use), unless otherwise stated. Our status (and that of any identified contributors) as the authors of the IUP Website/IUP Content must always be acknowledged. If you print off, copy or download any part of the IUP Website/IUP Content in breach of these User Terms and Conditions, your membership of the IUP and/or right to use the IUP Website will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

To the extent that any intellectual property rights subsist in your User Data and/or User Profile, you confirm that we have the right to make such use of your User Data and/or User Profile as is stated in these User Terms and Conditions and in our privacy policy, as updated from time to time.

Prohibited use of the IUP/IUP Website and the Services

You must not (except as may be allowed by any applicable law which is incapable of exclusion, or expressly permitted under this Agreement):

Attempt to copy, modify, translate, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the IUP Website, the IUP Content, or the Services in any form or media or by any means;

Attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the IUP Website, the IUP Content, or the Services;

License, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the IUP Website, the IUP Content, or the Services available to any third party;

Attempt to gain (or assist third parties in gaining) unauthorised access to the IUP Website, the IUP Content, the Services, the servers on which the IUP Website, the IUP Content, or Services are hosted or any server, computer or database connected to the IUP Website, the IUP Content, the or the Services; 

Or

Introduce to the IUP Website or the Services, any viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful nor attack the IUP Website, or the Services via a denial-of-service attack or a distributed denial-of-service attack.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the IUP Website (or any website linked to then), the IUP Content or the Services.

Links from the IUP Website

Where the IUP Website, the IUP Content or the Services contain links to other sites and resources, these links are provided for your information only. We have no control over the contents of sites or resources provided by third parties and accept no responsibility for them or for any loss or damage that may arise from your use of them.

Availability

In the event that Google Cloud platform should cease to be used to host the IUP Website for any reason, we shall use reasonable endeavours to ensure the continuity of the service and to mitigate the effects of any disruption. You acknowledge and agree however that we shall not be liable for any suspension of or delay to the service incurred in those circumstances.

We reserve the right to update or change the IUP Website/ IUP Content at any time.

Self-promotion and the selling of services

Self-promotion for-profit and the selling of services is not permitted on the IUP. Imagination reserve the right to remove any user from the IUP community who behaves in a manner deemed to contravene this condition of use.

Our liability

The IUP has been designed to the best of our ability based on our research, experience and knowledge in this field.

Save that nothing in this section shall restrict your statutory rights, neither we nor Google Cloud give any warranty as to the accuracy, suitability, reliability, completeness, performance, or satisfactory quality of the IUP, the IUP Website, the IUP Content or the Services, and we give no guarantee that it will have a positive impact on your academic or career development. Any decisions or action was taken by you on the basis of your use of the IUP Website/ IUP Content or the Services is at your sole discretion and risk and you should obtain individual professional advice where necessary.

To the extent permitted by law and save that nothing in this section shall restrict your statutory rights, we hereby expressly exclude:
all conditions, warranties and other terms which might otherwise be implied by common law or the law of equity; and any liability for any indirect or consequential loss or damage incurred by any user in connection with the IUP, the IUP Website or in connection with the use, inability to use, or results of the use of the IUP Content, any websites linked to it or any materials posted on the IUP Website or linked websites.

Nothing herein affects our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.

Jurisdiction and applicable law

The English courts will have exclusive jurisdiction over any claim arising from, or related to these User Terms and Conditions or your use of the IUP, the IUP Website or the Services, although we retain the right to bring proceedings against you for breach of these User Terms and Conditions in your country of residence or any other relevant country.

These User Terms and Conditions and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
